1. Definitions

"Customer" means an end-user who discovers, browses, or purchases Products through SnapShop. "Order" means a Customer's purchase transaction. "Products" means the goods offered by Merchant. "Third-Party Providers" means services such as Stripe, Square, Clover, and Uber Direct that integrate with SnapShop. "Connected Account" means a Merchant's account with a Third-Party Provider used for payments or catalog/inventory sync. "Merchant User" means an individual authorized by Merchant to use the Merchant Portal. "Merchant Data" means information Merchant provides or generates through the Merchant Services. "Order Data" means information related to Orders. "Merchant Privacy Policy" means the privacy policy at /retailers/privacy.

2. Relationship of the Parties

SnapShop provides software to help Customers discover Products, place Orders, and coordinate fulfillment/delivery. Merchant is seller of record and responsible for Products, fulfillment, and compliance. SnapShop does not take title unless separately agreed and is not a payment processor or courier.

3. Merchant Account and Eligibility

Merchant must be a lawful business; you represent authority to bind the business. Provide accurate information and keep it current. Merchant is responsible for account activity, user access, and credential security.

4. Product Listings, Pricing, and Inventory

Merchant ensures product info, pricing, and availability are accurate; maintains inventory for accepted Orders; updates catalog via POS integrations where applicable. SnapShop may restrict Products that violate law, these terms, or third-party rules.

5. Orders, Acceptance, and Fulfillment

Merchant must accept/reject within portal time window; if no response SnapShop may treat as rejected. For accepted Orders Merchant must pick/pack accurately, meet prep times, package appropriately, and comply with restricted item rules and courier handoff requirements where delivery is enabled.

6. Payments, Settlement, Refunds, and Disputes

SnapShop may facilitate payments via third-party processors (e.g., Stripe Connect / Square / Clover). Merchant authorizes processing and settlement to Merchant's Connected Account net of fees/refunds/adjustments. SnapShop does not store raw card data. Merchant responsible for taxes unless otherwise agreed. Merchant must maintain refund policy; SnapShop may initiate refunds to resolve issues; Merchant authorizes debits for refunds/chargebacks/fees. Settlement timing and holds are determined by payment processors and may vary; processors may delay/hold funds for risk/compliance/chargebacks. Fees are described in the portal or agreement and may include platform, processing, delivery, and dispute fees.

7. Delivery and Courier Services

SnapShop may coordinate delivery via third-party couriers (e.g., Uber Direct). Couriers are independent third parties; availability and service levels vary. Merchant responsible for packaging, readiness, and compliance. Additional delivery addenda or provider terms may apply.

8. Prohibited Products

Prohibit illegal/unsupported regulated goods including firearms, explosives, controlled substances, nicotine/tobacco, alcohol, adult sexual products, counterfeit/stolen goods, hazardous materials not permitted for transport, and any item requiring age verification that SnapShop does not support. SnapShop may suspend/terminate for violations and cooperate with lawful requests.

9. Customer Service

Merchant provides reasonable support and maintains accurate support contact info; responds to issues in commercially reasonable time.

10. Data, Privacy, Security

Merchant may receive Customer info necessary to fulfill Orders and will use it only for fulfillment/support, protect it with reasonable safeguards, and not sell it or use it for marketing without consent and where lawful. SnapShop's Merchant Privacy Policy (/retailers/privacy) describes SnapShop's handling of Merchant Data and Order Data.

11. Intellectual Property

Each party retains IP. Merchant grants SnapShop a limited license to display Merchant name/logo/product info to operate and market Merchant Services.

12. Suspension/Termination

SnapShop may suspend/restrict for fraud risk, legal/compliance concerns, repeated failures, excessive complaints, unpaid fees, or violations. Merchant may terminate subject to outstanding Orders/refunds/disputes/settlement obligations.

13. Disclaimers

Services provided "as is"; SnapShop does not guarantee uninterrupted availability or courier performance.

14. Limitation of Liability

No indirect damages; total liability capped at fees paid to SnapShop in the prior three months, to the maximum extent permitted by law.

15. Indemnification

Merchant indemnifies SnapShop for claims arising from Products, fulfillment, data misuse, or legal violations.

16. Changes

SnapShop may update terms with notice via portal/email where commercially reasonable; continued use after effective date constitutes acceptance.

17. Governing Law

Nevada law; venue in Clark County, Nevada.
